Charter of Conduct

Together with creating added value through fair competition and contributing to economic and social progress through employment creation, Macnica must be a presence that benefits society at large. Accordingly, through various business activities, the Macnica will fulfill its responsibilities to society with a high degree of ethics in order to build a sustainable society, while respecting human rights and conforming to the word and spirit of applicable laws, regulations, and international rules, both in Japan and around the world.

1. We will strive to ascertain and understand, as well as following, all applicable laws, regulations, and rules in our business activities. We will conform to internal rules and conduct fair and efficient business management.
2. We will earn the trust and satisfaction of consumers and customers by developing and supplying products and services that are safe and beneficial to society.
3. We will conduct appropriate transactions under fair, transparent, free competition, with respect for fair trade practices in our business activities. We will also exchange gifts and entertainment within the reasonable extent of trade practices and social norms, without violating laws and regulations.  We will conduct cooperation and transactions among Group companies with objectivity and rationality, always striving to ensure the soundness of the Group as a whole.
4. We will maintain transparent, sound, and appropriate relations with politicians and administrators at all times. We will never provide unlawful donations, contributions, or other benefits or bribes.
5. We will disclose corporate information actively and fairly, through communication with shareholders and with society at large. We will not violate insider trading regulations.
6. We will recognize the importance of intellectual property and duty of keeping information confidential in business activities and will also thoroughly protect and manage various types of information, including personal information and customer information.
7. We will respect employee diversity, personality, and individuality and will secure safe, comfortable working environments and create ease and enrichment.
8. We will proactively address environmental issues, recognizing the environment as a matter that affects all of humanity and is essential to Company survival and activities.
9. We will make active contributions to society as a good corporate citizen.
10. We will resolutely oppose antisocial forces and groups threating the order and safety of civil society and will thoroughly eliminate any relations to such parties.
11. In response to globalization of business activities, we will follow the laws of each country and region, respect international norms including those concerning human rights, do business with consideration for culture, customs, and stakeholders' interests, and contribute to the economic and social progress of applicable countries and regions.
12. In the event of a violation of this Code, the President will demonstrate a clear approach toward a solution and strive to investigate the causes and prevent the reoccurrence of such violation. In addition, we will disclose information swiftly and accurately and be accountable, making authority and responsibility clear and effect strict discipline, including discipline of ourselves. We will establish systems for responding appropriately to consultation or reporting concerning organizational or individual violations of laws and regulations, etc., strive to discover and correct improper acts etc. swiftly, and promote compliance management.
