Charter of Conduct

The Macnica Group believes it must help support the development of economic society through such activities as creating added value and employment by means of fair competition while being an asset to society at large. The Group therefore endeavors to meet its social responsibilities, always maintaining the highest ethical standards, by respecting human rights in Japan and overseas and complying with the letter and spirit of relevant laws, regulations, and international rules in all corporate activities, with a view to fostering creation of a sustainable society.

  1. In all our corporate activities, we strive to be aware of and understand all applicable laws and regulations, and comply with them. We comply also with internal rules and conduct our business operations appropriately and efficiently.
  2. We develop and provide safe, socially useful products and services to satisfy clients and consumers and to gain client and consumer trust.
  3. We respect fair trade practices in corporate activities. We engage in fair, transparent, free competition and implement transactions properly. In giving gifts and providing entertainment, we abide by laws and regulations, conducting ourselves appropriately and within acceptable business and social limits. In collaborations and transactions between Group companies, we behave objectively and rationally, always maintaining the soundness of the Macnica Group as a whole.
  4. We maintain sound, healthy, and transparent relationships with politicians and government administrations. We do not make illegal contributions or donations, or engage in bribery.
  5. We communicate broadly with society, actively and fairly disclosing corporate information with all, not only with shareholders. We do not violate insider-trading regulations.
  6. Recognizing the importance of intellectual property and our obligation to protect confidentiality of information handled in carrying out corporate activities, we diligently protect and manage various types of sensitive information, including personal data and client data.
  7. We respect the diversity, personal qualities, and individuality of our employees and aim to ensure employees have safe and comfortable workplaces; we aim to achieve work environments of comfort and richness.
  8. Addressing environmental issues is imperative for all humankind. We engage proactively in addressing environmental concerns, as environmental security is an essential condition for the existence and activities of any company.
  9. As a good corporate citizen, we actively engage in activities that contribute to society.
  10. We resolutely confront antisocial forces and organizations that threaten the order and safety of civil society, and ensure that we have severed any relationships with such forces and organizations.
  11. In response to the ongoing trend toward globalization of corporate activities, we comply with the laws of all the countries and regions in which we operate and respect international norms, including norms related to human rights. We manage our business operations with local culture, customs, and stakeholder interests in mind and endeavor to contribute to the economic and social development of the countries and regions that host our activities.
  12. In the event of an incident violating provisions of this Charter, the company president will make it clear internally and externally that the president is directly involved in dealing with the problem, striving to identify causes and prevent recurrence. The president, in line with the company’s responsibility to promptly and accurately disclose information and explain circumstances to the public, will implement appropriately strict corrective measures that may also apply to him/herself, while clarifying lines of authority and responsibility. Regarding individual or organization-level violations of laws and regulations, the company establishes a system for making appropriate responses to questions about possible infractions or reports of irregularities in order to achieve early detection and correction of misconduct or other improprieties, promoting compliance-based management.

Macnica Group proactively accepts the social responsibility of developing an enterprise that helps preserve the earth's environment and will conduct its business activity with consideration for the preservation of the environment.

Basic Environmental Policy

Macnica Group is committed to its business philosophy of contributing to the development of a prosperous society and life by discovering and delivering innovations in the areas of electronics and information technologies. Macnica Group realizes the necessity of fostering awareness for environmental problems for the creation of a "wealthy society" and thus it will promote the following management activities aimed at reducing impact to the environment on an ongoing basis.

  1. Creating an Environmental Management System Macnica Group will create an environmental management system and constantly strive for improvements that give careful consideration to environmental impact.
  2. Compliance with Environmental Laws and Regulations Macnica Group will ensure compliance with environmental laws and regulations as well as other required matters.
  3. Reducing Environmental Impact Macnica Group will implement measures to conserve resources, decrease energy consumption, promote recycling and reduce waste materials. Further, Macnica Group will strive to protect the environment against pollution and biodiversity loss caused by harmful chemicals and waste materials.
  4. Setting and Revising Environmental Objectives and Targets Macnica Group will set environmental objectives and targets to achieve its environmental policies and will periodically review these objectives and targets as necessary.
  5. Internal Education and Training Macnica Group will strive to raise the level of awareness among all employees in regard to environmental considerations and policies through internal communication activities.
  6. Official Releases to the Public Macnica Group will make these environmental policies available to the general public.

Antisocial Forces

Basic policy regarding antisocial forces

Macnica, Inc. and its Group companies (hereinafter “the Company”) adopt the basic principles below in order to resolutely confront antisocial forces and organizations that threaten the order and safety of civil society and to ensure that the Company has severed any relationships with such forces and organizations.
Note: “Group companies” means Macnica Networks Corporation and other affiliates.

  1. The Company does not maintain any relationships with antisocial forces.
  2. To prevent harm that may be caused by the activities of antisocial forces, the Company cooperates with specialized external agents such as police forces and lawyers to respond systematically and appropriately.
  3. The Company does not respond to unreasonable demands or threats made by any group identified as an antisocial force, and it will respond to any such contact with legal action in the civil and criminal courts, as appropriate.
  4. The Company provides no funding to antisocial forces and engages in no under-the-table financial dealings with representatives of antisocial forces.
  5. The Company will protect the safety of directors and employees who have to deal with unreasonable demands or threats that may be presented by antisocial forces.
