Notice of Completion of Investment in Navya Mobility SAS

Macnica is pleased to announce that with regard to its investment in Navya Mobility SAS (hereinafter referred to as Navya) * 1 announced on August 8, 2024, it has completed the transfer of funds (€10,000,000 each) to Navya through its joint investment with Nippon Telegraph and Telephone West Corporation (hereinafter referred to as NTT West) and officially closed on March 3, 2025 through written procedures, etc.

Following the investment, Navya's capital will be €34,306,101. The shareholding ratios of each company are as follows:

Through this investment in Navya, we aim to strengthen our overall supply chain, including our development and provision capabilities for autonomous driving vehicles and autonomous driving systems, from upstream to downstream. We will establish a seamless scheme that will enable us to respond to customer needs more quickly than ever before, from consulting to construction, implementation, maintenance and operation for the social implementation of autonomous driving.

In addition, in cooperation with NTT West, we will contribute to maintaining local transportation and realizing regional revitalization, and promote the realization of Level 4 * 2 autonomous driving autonomous driving services in more than 100 locations by fiscal 2027, as the government aims to achieve.

*1: Navya is a company with more than 120 engineers with expertise in autonomous driving software development, vehicle implementation and operation. It is a leading company with a track record of selling more than 200 units of its 15-seater autonomous driving EV buses "ARMA" and "EVO" for urban and suburban areas in 26 countries around the world. In May 2023, GAUSSIN SA and Macnica established a joint venture, GAUSSIN Macnica MOBILITY SAS, to acquire the assets of the former Navya, and in June 2024, Macnica acquired all of the common shares held by GAUSSIN SA, making it a wholly owned subsidiary. In conjunction with Macnica 's additional investment, NTT West Japan has decided to make a new investment. Accordingly, the new company name has been changed to "Navya Mobility SAS."

*2: Fully autonomous driving (limited to certain locations, etc.): A state in which an automated driving device takes over all driving operations in limited areas where specific driving environment conditions are met.
