Macnica and France's GAUSSIN establish a new company with the aim of developing zero-emission autonomous mobility. Inheriting the assets of France's NAVYA and accelerating the social implementation of Level 4 autonomous driving

Macnica (Headquarters: Yokohama City, Kanagawa Prefecture, President: Kazumasa Hara, hereinafter referred to as Macnica), a total Services & Solutions provider in semiconductors, networks, cybersecurity, and AI/IoT, is a company that provides clean and smart cargo transportation by EV and hydrogen. GAUSSIN SA (Headquarters: Helicours, France; CEO: Christophe Gaussin; hereinafter referred to as GAUSSIN), a pioneer in fuel cell technology, and GAUSSIN SA (Headquarters: Helicours, France; CEO: Christophe Gaussin; hereinafter referred to as GAUSSIN) have partnered with GAUSSIN to develop a new autonomous, zero-emission mobility vehicle for the transportation of people and goods. We are pleased to announce that we have established a company and will take over the assets of NAVYA, which specializes in providing autonomous driving EV bus solutions. With this, Macnica will accelerate the social implementation of Level 4 autonomous driving and contribute to solving social issues.

NAVYA is a company with more than 120 engineers with expertise in Level 4 autonomous driving software development, vehicle implementation and operation. With ARMA and EVO, 15-passenger autonomous driving EV buses for urban and suburban areas, we have established ourselves as a leading company with sales of more than 200 units in 25 countries around the world. In terms of next-generation shuttle buses, we are actively promoting the joint development of the 35-passenger product "BlueBus" with France's Bollore.

For the past seven years, Macnica has been expanding its autonomous driving autonomous driving globally, mainly in Asia, including Japan and ASEAN countries. While leveraging our expertise in core technology, data analysis during social implementation, and real-time FMS (traffic management system), we are leveraging our expertise in on-road (public roads in the metropolitan area and local governments) and off-road (mines, factories, warehouses, plants, airports). We have provided mobility Services & Solutions in two areas: private land such as ports and ports). Among these, NAVYA's autonomous driving EV buses are positioned as the most promising solution for resolving social issues such as regional revitalization and transportation issues in local governments, and are being used in projects such as Sakai Town in Ibaraki Prefecture, Yokkaichi City in Mie Prefecture, and Haneda Innovation City. We are operating as a domestic exclusive agent with a track record of providing services.

The capital ratio of GAUSSIN and Macnica in the new company is 51:49, and Board Director will be appointed from each company, with Jean-Claude Bailly, former executive vice president of GAUSSIN, scheduled to serve as the representative. In the new company's sales strategy, while continuing to sell NAVYA's existing products "ARMA" and "EVO" in the on-road market, we will continue to sell next-generation autonomous driving that leverages GAUSSIN's development and manufacturing know-how and NAVYA's software technology. We will advance the development of EV buses and aim to sell more than 500 units over the next four years to the rapidly increasing global market for level 4 autonomous driving EV buses on public roads. For the off-road market, we will accelerate the development and sales expansion of automation solutions for ports and plants by incorporating NAVYA's autonomous driving software technology into GAUSSIN's main product, a large cargo transport AGV powered by electric and hydrogen batteries. Both will create business synergies by combining the strengths of Macnica 's global network as Service & Solution Company with the strengths of GAUSSIN/NAVYA's hardware/software technology, development, and manufacturing, and will become a global leader in autonomous driving Services & Solutions. We will accelerate social implementation and aim for sustainable growth.
