Macnica (head office location: 1-6-3 Shin-Yokohama, Kohoku-ku, Yokohama, President: Kiyoshi Nakashima), which imports, sells, and develops semiconductors and network equipment, has reorganized its domestic semiconductor business. We would like to inform you that we have decided to merge the Company wholly owned subsidiaries Altima Corporation (hereinafter referred to as "Altima") and Kogent Inc. (hereinafter referred to as "Cogent").

 

 

 

In the environment surrounding the Company, mergers and acquisitions (M&A) among semiconductor manufacturers are currently progressing on an unprecedented scale, and at the same time as the semiconductor industry becomes an oligopoly, the liquidation and elimination of semiconductor trading companies is accelerating. On the other hand, our customers are strongly demanding greater efficiency and global support through the consolidation of procurement operations and transaction accounts.

 

In such an environment, this organizational restructuring (corporation integration) will unify the trading accounts of Altima and Cogent, which were previously dispersed under the Company umbrella, into the Company account, consolidating operations at our customers.・Aiming to contribute to efficiency improvement, we aim to make more use of the the Company 's global bases, which are deployed in 18 countries and 70 bases around the world. Furthermore, as M&As by semiconductor manufacturers are expected to continue in the future, we will prevent account transfers within customers that occur when M&As occur between suppliers of the the Company. It is possible to reduce the load.

 

In addition, in this organizational reorganization, the Company system, which has been a strength of the Group, will be utilized as is, and independence will be maintained, so we will be able to provide support not only to customers but also to suppliers. It is possible to further enhance the service (for example, operating as Macnica ALTIMA Company).

 

In this way, we will further enhance our support to our customers and suppliers by providing a universal and global trading account of the Company the Company that is flexible even in a rapidly changing environment.

 

 

 

Summary of the absorption-type merger

(1) On April 1, 2017, Altima, a wholly-owned subsidiary of the Company, was succeeded by the Company in an absorption-type split, leaving behind a backlog of orders and sales receivables. The merger is scheduled to be absorbed by the Company on July 1, 2017.

 

(2) On July 1, 2017, we plan to merge with the Company wholly-owned subsidiary, Cogent.
